Terms of Service
PARAGON RENTALS, INC.
Last Updated: October 16, 2026
1. Agreement to These Terms
These Terms of Service (the “Terms”) are a legally binding agreement between you and Paragon Rentals, Inc., a Wyoming corporation (“Paragon Rentals,” “Paragon,” “we,” “us,” or “our”). They govern your access to and use of the website at https://paragonrentals.ai, our related applications, and all services we provide through them (together, the “Platform” or the “Services”).
By creating an account, listing a property, making a booking, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any other policies we publish on the Platform, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Platform.
If you use the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to both you and that entity.
Please read Section 27 carefully. It requires most disputes between you and Paragon to be resolved by binding individual arbitration, waives your right to a jury trial, and waives your right to participate in a class action. You may opt out of arbitration as described in Section 27.9.
2. Definitions
In these Terms:
- “Seller” means a user who lists a property or accommodation on the Platform for rent.
- “Buyer” means a user who searches for, books, or rents a property through the Platform.
- “Listing” means a property or accommodation offered by a Seller on the Platform, together with its description, images, media, pricing, availability, house rules, and other details.
- “Booking” means a reservation of a Listing by a Buyer that has been confirmed through the Platform.
- “Booking Date” means the first day of the stay or rental period reserved under a Booking.
- “Listing Amount” means the price set by the Seller for the Listing for the reserved period, excluding Paragon fees, payment processing fees, and taxes collected separately.
- “User Content” means any text, photographs, videos, reviews, messages, or other content that a user submits to the Platform.
- “User” or “you” means any person or entity that accesses or uses the Platform, including Sellers and Buyers.
3. Paragon Is a Platform, Not a Party to Rentals
Paragon provides an online marketplace that allows Sellers to list properties and Buyers to find and book them. Paragon does not own, operate, manage, control, inspect, or rent any Listing. When a Buyer makes a Booking, the rental agreement is solely between the Buyer and the Seller. Paragon is not a party to that agreement and is not a landlord, property manager, real estate broker, travel agent, or insurer.
Paragon does not guarantee the existence, quality, safety, suitability, legality, or availability of any Listing, or the truth or accuracy of any Listing content, User Content, or user identity. Sellers and Buyers act on their own behalf and not as employees, agents, or partners of Paragon. Any review or verification process we may run is limited and does not mean we endorse or vouch for any user or Listing.
Paragon may, at its discretion, help resolve disputes between Buyers and Sellers as described in Section 9, but it has no obligation to do so, except as stated in these Terms and the Refund Policy.
4. Eligibility and Accounts
4.1 Eligibility. You must be at least 18 years old and able to enter into legally binding contracts to use the Platform. By using the Platform, you represent that you meet these requirements and that you are not barred from using the Platform under any applicable law, including sanctions laws.
4.2 Your Account. You must provide accurate, current, and complete information when you register and keep it up to date. You may hold only one account unless we permit otherwise. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at info@paragonrentals.ai if you suspect unauthorized use.
4.3 Verification. We may, but are not required to, ask you to verify your identity, contact details, payment method, or ownership of or authority to rent a property, and we may use third-party services to do so. We may decline, suspend, or limit any account that we cannot verify.
5. Listings and Seller Responsibilities
5.1 Authority to List. By creating a Listing, the Seller represents that it owns the property or has all rights and permissions needed to rent it, including any consent required from a landlord, homeowners’ association, co-owner, or lender.
5.2 Accurate Listings. Sellers must provide complete and accurate information about each Listing, including its location, size, number of rooms and beds, amenities, condition, house rules, fees, availability, and any material limitations or hazards. Sellers must keep each Listing up to date, including its calendar and pricing.
5.3 Accurate Images and Media. Sellers must display accurate and truthful images, videos, virtual tours, and other media for each Listing. All images and media must:
- show the actual property being offered, and not a different unit, a model unit, a stock image, or another property;
- fairly reflect the property’s current condition, layout, furnishings, and amenities;
- not be edited, staged, filtered, or cropped in a way that hides defects or misrepresents the size, condition, view, or surroundings of the property; and
- be updated promptly when the property or its amenities materially change.
The purpose of this requirement is to ensure that Buyers are not confused or misled about what they are booking. Inaccurate or misleading images or media are a breach of these Terms and may result in removal of the Listing, a refund to the Buyer, withholding of the Seller’s payout as described in Section 9, and suspension or termination of the Seller’s account.
5.4 Compliance with Laws. Sellers are solely responsible for complying with all laws, regulations, and agreements that apply to their Listings, including short-term rental rules, zoning, licensing, permits, registration, health and safety codes, fire codes, accessibility, anti-discrimination laws, and tax obligations.
5.5 Honoring Bookings. Sellers must honor confirmed Bookings at the price and on the terms shown at the time of Booking, provide the Buyer with access to the property as described, and ensure the property is clean, safe, and in the condition shown in the Listing.
5.6 Safety and Insurance. Sellers are responsible for the safety of their properties, including working smoke and carbon monoxide detectors where required, and for maintaining appropriate insurance. Paragon does not provide insurance for Sellers or their properties.
5.7 Our Rights over Listings. We may review, edit for formatting, decline, or remove any Listing that we believe violates these Terms, is inaccurate or misleading, or creates risk for users or Paragon.
6. Buyer Responsibilities
Buyers must:
- review the full Listing, including the description, images, house rules, cancellation terms, and total price, before booking;
- provide accurate information about themselves and the number of guests;
- use the property only for lawful purposes and as permitted by the Listing and house rules, and not exceed the stated occupancy;
- treat the property, its contents, and its neighbors with respect, and leave the property in the condition in which they found it, apart from ordinary wear and tear; and
- be responsible for the conduct of everyone they invite to the property and for any damage they cause.
7. Bookings
7.1 Making a Booking. A Booking is confirmed only when the Platform shows it as confirmed and payment has been successfully processed. Before you book, the Platform will show you the Listing Amount, applicable Paragon fees, any taxes, and the total amount due.
7.2 Booking Is a Contract with the Seller. By confirming a Booking, the Buyer enters into an agreement directly with the Seller to rent the Listing on the terms shown, including the Seller’s house rules, and agrees to pay all amounts due.
7.3 Communications Through the Platform. Buyers and Sellers should communicate, arrange, and pay for Bookings through the Platform. Taking a booking or payment off the Platform to avoid Paragon fees is prohibited, and Paragon cannot assist with any booking or payment made outside the Platform.
8. Payments, Fees and Payouts
8.1 Payment Methods. Payments are processed by third-party payment providers, which currently include PayPal, Stripe, and MoonPay Commerce (for supported digital-asset payments). Your use of those providers is also governed by their own terms and privacy policies. Paragon does not store full payment card details.
8.2 Payment Collection. Each Seller appoints Paragon as its limited agent solely to collect payments from Buyers on the Seller’s behalf through the Platform and to remit payouts to the Seller. A Buyer’s payment to Paragon for a Booking satisfies the Buyer’s payment obligation to the Seller for that Booking.
8.3 Paragon Fees. Buyers pay a booking fee for each Booking (currently $5.00 per Booking). Sellers may be charged service fees as disclosed on the Platform or in their Seller account. The applicable fees are shown before you confirm a transaction. Unless the Refund Policy or applicable law provides otherwise, the booking fee and payment processing fees are non-refundable.
8.4 Seller Payouts. Paragon releases the Seller’s payout, less applicable fees and any amounts withheld under these Terms, after the Booking is completed and the dispute period described in Section 9.3 has closed without a pending dispute. Payout timing may also depend on the payment provider. We may delay, withhold, or offset a payout where a dispute, chargeback, suspected fraud, or breach of these Terms is pending.
8.5 Digital-Asset Payments. If you pay with a digital asset through MoonPay Commerce, the price is fixed in U.S. dollars at checkout. Any refund will be issued in the U.S. dollar amount owed, by the method Paragon selects, unless otherwise required by law. Paragon is not responsible for changes in the value of any digital asset.
8.6 Currency, Chargebacks and Collection. All prices are in U.S. dollars unless stated otherwise. If you file a chargeback for a transaction that complies with these Terms and the Refund Policy, we may suspend your account and recover the amount and any related costs from you.
9. Cancellations, Refunds and Disputes Between Buyers and Sellers
9.1 Refund Policy. Cancellations and refunds are governed by Paragon’s Refund Policy, published on the Platform, which forms part of these Terms. In the event of a conflict between these Terms and the Refund Policy regarding a refund, the Refund Policy controls. The key rules are summarized below for convenience.
9.2 Buyer Cancellations. To be eligible for a refund, a Buyer must request cancellation through the Platform at least 24 hours before the Booking Date. Only the Listing Amount is refundable; the booking fee and payment processing fees are not.
9.3 Misrepresentation Disputes. If a Listing was materially misrepresented, including through inaccurate images or media, a Buyer may file a dispute on the Platform within 24 hours after the Booking ends, together with substantial supporting evidence such as photographs, videos, and messages. A Paragon administrator will review the dispute. If the dispute is upheld, Paragon will refund the Listing Amount to the Buyer directly and withhold the corresponding payout from the Seller.
9.4 Seller Cancellations. If a Seller cancels a confirmed Booking, the Buyer will receive a full refund of the Listing Amount. Paragon may also impose consequences on the Seller, including fees, blocking of calendar dates, lower search placement, or account suspension.
9.5 Discretion. Except where these Terms, the Refund Policy, or applicable law require otherwise, refund decisions are made at Paragon’s reasonable discretion based on the evidence available.
10. Damage and Security Deposits
10.1 Responsibility for Damage. Buyers are responsible for any loss of or damage to a property or its contents caused by them or their guests during a Booking, beyond ordinary wear and tear.
10.2 Security Deposits. A Seller may require a security deposit only if the amount and terms are clearly stated in the Listing before booking. Any security deposit must be collected and handled through the Platform or as the Listing expressly describes, and returned in accordance with the Listing terms and applicable law.
10.3 Damage Claims. A Seller who believes a Buyer caused damage should submit a claim through the Platform within 14 days after the Booking ends, with supporting evidence. Paragon may, but is not required to, help mediate the claim. Where the Buyer agrees, or Paragon reasonably determines the Buyer is responsible, Paragon may charge the Buyer’s payment method or apply the security deposit, as permitted by law. Damage disputes that are not resolved through the Platform are a matter between the Buyer and the Seller.
11. Taxes
Sellers are solely responsible for determining and meeting their tax obligations arising from their Listings and Bookings, including income tax and any occupancy, lodging, tourist, sales, or similar taxes. Where required by law, Paragon may collect and remit certain taxes on behalf of Sellers or Buyers, and the amount will be shown at checkout. Paragon may also be required to report Seller earnings to tax authorities and may request tax information from Sellers. Paragon does not provide tax advice.
12. Reviews and User Content
12.1 Reviews. After a Booking, Buyers and Sellers may be able to leave reviews. Reviews must be honest, based on a genuine experience, and comply with these Terms. You may not offer or accept anything of value in exchange for a review, post a review of your own Listing, or post reviews intended to harm a competitor. Paragon does not verify reviews and may remove reviews that violate these Terms.
12.2 Your Responsibility. You are solely responsible for your User Content and represent that you have all rights needed to post it and that it does not infringe anyone’s rights or violate any law.
12.3 License to Paragon. You keep ownership of your User Content. You grant Paragon a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify for formatting, display, and distribute your User Content in connection with operating, promoting, and improving the Platform. This license ends when you delete the content or your account, except for content that has been shared with others, copies we are required to keep, and reviews, which may remain on the Platform.
12.4 Removal. We may remove or restrict any User Content at any time if we believe it violates these Terms or creates risk, but we are not obligated to monitor User Content.
13. Prohibited Conduct
You agree that you will not, and will not permit anyone else to:
- post false, inaccurate, or misleading Listings, images, media, or other content;
- use the Platform for any unlawful, fraudulent, or deceptive purpose, including money laundering or using stolen payment methods;
- discriminate against any user on the basis of race, color, religion, national origin, sex, sexual orientation, gender identity, disability, familial status, or any other characteristic protected by law;
- arrange or complete a booking or payment outside the Platform to avoid Paragon fees;
- harass, threaten, or harm any person, or invade anyone’s privacy, including through hidden cameras or undisclosed recording devices;
- create more than one account without permission, impersonate another person, or misrepresent your affiliation with anyone;
- copy, scrape, harvest, or collect data from the Platform by automated means without our written permission;
- modify, reverse engineer, decompile, or attempt to discover the source code of any part of the Platform, except as permitted by law;
- interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its servers, or other users’ accounts, or introduce viruses or other harmful code;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Platform; or
- resell, sublicense, or commercially exploit the Platform or any part of it, except as expressly permitted by these Terms.
14. Privacy and Cookies
Our collection and use of personal information is described in our Privacy Policy, available on the Platform at https://paragonrentals.ai/privacy-policy. The Platform uses cookies and similar technologies, including cookies needed for login and core functionality and cookies used for analytics and performance. You can manage cookies through your browser settings, but disabling some cookies may cause parts of the Platform to stop working. Our Privacy Policy explains how we use cookies.
15. Intellectual Property
The Platform and all its contents, features, and functionality, including software, text, graphics, logos, designs, and the selection and arrangement of content (but excluding User Content), are owned by Paragon or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, Paragon grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for its intended purpose. All rights not expressly granted are reserved. You may not use Paragon’s name, logos, or trademarks without our prior written permission.
16. Feedback
If you send us suggestions, ideas, or feedback about the Platform (“Feedback”), you agree that we may use, copy, modify, and share that Feedback for any purpose without compensation or attribution to you. Feedback does not include your User Content or your Listings.
17. Third-Party Services and Links
The Platform may include links to, or integrations with, third-party websites and services, including payment providers, mapping services, and identity verification services (“Third-Party Services”). Paragon does not control and is not responsible for Third-Party Services, their content, or their practices. Your use of Third-Party Services is at your own risk and is subject to the third party’s terms and policies.
18. Promotions
From time to time, Paragon may offer contests, promotions, referral programs, coupons, or similar offers (“Promotions”). Promotions may be governed by separate rules, including eligibility requirements and restrictions, which will be made available with the Promotion. If the Promotion rules conflict with these Terms, the Promotion rules control for that Promotion.
19. Pricing and Typographical Errors
We try to display accurate information, but errors can occur. If a fee, price, or other information shown by Paragon is clearly wrong because of a typographical or system error, we may correct the error and may cancel any affected transaction, even after it has been confirmed. If we cancel a transaction for this reason, we will promptly refund any amount you paid for it. Sellers are responsible for the accuracy of the prices they set for their own Listings.
20. Copyright Infringement Notices
If you believe that material on the Platform infringes your copyright, please send a written notice to info@paragonrentals.ai or to the mailing address in Section 31, including: (a) your physical or electronic signature, or that of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the allegedly infringing material and where it is located on the Platform; (d) your name, address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf. We may remove the material and terminate the accounts of repeat infringers.
21. Suspension and Termination
21.1 By You. You may stop using the Platform and close your account at any time through your account settings or by contacting us. Closing your account does not cancel your obligations under any Booking that has already been confirmed, unless the Booking is cancelled under the Refund Policy.
21.2 By Paragon. We may suspend, limit, or terminate your account or access to the Platform, remove your Listings, or cancel pending or confirmed Bookings if we reasonably believe that you have breached these Terms or any law, that your conduct creates risk or liability for Paragon or other users, or that we are required to do so by law. Where practical and lawful, we will tell you the reason. We may also discontinue the Platform as a whole with reasonable notice.
21.3 Effect of Termination. When your account is terminated, your right to use the Platform ends. We will handle any outstanding Bookings, refunds, and payouts in accordance with these Terms and the Refund Policy. Termination does not limit any of Paragon’s rights or remedies for a breach that occurred before termination.
22. Changes to the Platform
We may update, change, suspend, or discontinue any feature or part of the Platform from time to time, including by releasing patches, bug fixes, and upgrades. We have no obligation to continue providing any particular feature. Updates form part of the Platform and are subject to these Terms.
23. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the updated Terms on the Platform and update the “Last Updated” date at the top. If a change is material, we will give you at least 30 days’ notice before it takes effect, by email to the address on your account, through the Platform, or both. Changes will not apply to Bookings confirmed before the changes take effect or to disputes for which a Notice of Dispute was sent before the changes take effect. If you continue to use the Platform after the updated Terms take effect, you accept them. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, PARAGON DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, AND MAKES NO WARRANTY ABOUT ANY LISTING, SELLER, BUYER, OR USER CONTENT, INCLUDING THE ACCURACY OF LISTING DESCRIPTIONS, IMAGES, OR MEDIA, OR THE CONDITION, SAFETY, OR LEGALITY OF ANY PROPERTY. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PARAGON CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, those warranties are limited to the shortest period permitted by law.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAGON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, ANY LISTING OR BOOKING, OR ANY INTERACTION BETWEEN USERS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PARAGON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAGON’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO PARAGON (EXCLUDING AMOUNTS PASSED THROUGH TO SELLERS) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations do not apply to liability that cannot be limited or excluded under applicable law, including liability for Paragon’s fraud, gross negligence, or willful misconduct, or for death or personal injury caused by Paragon’s negligence. Some jurisdictions do not allow the limitation or exclusion of incidental or consequential damages, so some of these limitations may not apply to you.
26. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Paragon and its parents, subsidiaries, affiliates, officers, directors, employees, and agents from and against any third-party claims, losses, liabilities, damages, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your breach of these Terms or any policy incorporated into them; (b) your violation of any law or the rights of any third party; (c) your Listings, User Content, or Bookings; or (d) for Sellers, the condition of your property and any injury, loss, or damage occurring there. We will notify you of any claim for which we seek indemnification and may participate in the defense with counsel of our choice.
27. Dispute Resolution and Binding Arbitration
27.1 Scope. This Section 27 applies to any dispute, claim, or controversy between you and Paragon arising out of or relating to these Terms, the Platform, or any Booking, whether based in contract, tort, statute, or any other legal theory, and including disputes about the scope or enforceability of this Section (each, a “Dispute”). It does not apply to disputes solely between Buyers and Sellers.
27.2 Notice of Dispute and Informal Resolution. Before starting arbitration or a small claims case, the party raising the Dispute must send the other a written Notice of Dispute that includes the sender’s name, address, and contact information, the facts giving rise to the Dispute, and the relief requested. You must send your Notice of Dispute by email to info@paragonrentals.ai. Paragon will send any Notice of Dispute to you at the email address on your account or, if we have it, your mailing address. You and Paragon will try in good faith to resolve the Dispute informally for 60 days after the Notice of Dispute is sent. Any applicable limitations period is paused during that time.
27.3 Agreement to Arbitrate. If the Dispute is not resolved within 60 days, either party may begin binding arbitration. Except as provided in Sections 27.6 and 27.8, you and Paragon agree that all Disputes will be resolved exclusively by final and binding individual arbitration, and not in court. This agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
27.4 Rules, Arbitrator and Seat. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules where the Dispute involves a consumer, and otherwise under its Commercial Arbitration Rules, as modified by this Section. The AAA rules are available at www.adr.org. The arbitration will be conducted by a single neutral arbitrator. The seat of arbitration is Cheyenne, Wyoming. The arbitration may be conducted by video conference, telephone, or written submissions, and if an in-person hearing is required, it will take place in Cheyenne, Wyoming, unless the applicable AAA rules require a different location for a consumer. The arbitrator may award the same individual relief that a court could award, and the award may be entered as a judgment in any court of competent jurisdiction.
27.5 Costs. Payment of AAA filing, administration, and arbitrator fees will be governed by the applicable AAA rules, under which Paragon pays most of these fees in consumer cases. If you show that the costs of arbitration would be prohibitive compared to litigation, Paragon will pay as much of your filing and hearing fees as the arbitrator finds necessary to prevent the arbitration from being cost-prohibitive. Each party will bear its own attorneys’ fees and costs, unless the arbitrator awards them under applicable law or because a claim or defense was frivolous or brought in bad faith.
27.6 Small Claims and Intellectual Property Exceptions. Either party may bring an individual claim in small claims court if it qualifies and remains there. Either party may also bring a lawsuit in court seeking injunctive or other equitable relief to protect its intellectual property rights or to stop unauthorized use of the Platform.
27.7 Class Action Waiver. YOU AND PARAGON AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person, may not preside over any form of class, collective, or representative proceeding, and may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief for that party’s individual claim.
27.8 Jury Trial Waiver and Severability. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND PARAGON WAIVE ANY RIGHT TO A JURY TRIAL. If the class action waiver in Section 27.7 is found unenforceable for any claim or request for relief, that claim or request (and only that one) will be severed and decided in court under Section 29, after the individual arbitration of the remaining claims is complete, and the rest of this Section 27 will remain in effect.
27.9 Right to Opt Out. You may opt out of this agreement to arbitrate by emailing info@paragonrentals.ai within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and your name, the email address on your account, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms, and if you opt out, Disputes will be resolved in court under Section 29.
28. Time Limit to Bring Claims
To the extent permitted by applicable law, any claim or cause of action you have arising out of or relating to these Terms or the Platform must be started (by sending a Notice of Dispute under Section 27.2) within one (1) year after the claim or cause of action arises. Otherwise, it is permanently barred.
29. Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, except that Section 27 is governed by the Federal Arbitration Act. Any claim that is not subject to arbitration, or for which arbitration has been waived or found unenforceable, will be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and you and Paragon consent to the personal jurisdiction of those courts. Nothing in this Section deprives you of the protection of any mandatory consumer protection law of the place where you live.
Paragon operates the Platform from its offices in Cheyenne, Wyoming, United States. The Platform is not intended for use in any jurisdiction where such use would be unlawful. If you access the Platform from outside the United States, you are responsible for complying with your local laws.
30. General Provisions
30.1 Entire Agreement. These Terms, together with the Privacy Policy, the Refund Policy, and any other policies or rules we publish on the Platform and incorporate by reference, are the entire agreement between you and Paragon about the Platform, and they supersede all prior or contemporaneous agreements on that subject. Additional terms may apply to certain features or Promotions; these will be presented to you when you use them. If those additional terms conflict with these Terms, the additional terms control for that feature or Promotion.
30.2 Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and interpreted to achieve its original purpose as closely as possible, and the remaining provisions will remain in full force and effect, except as stated in Section 27.8.
30.3 No Waiver. No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right, and no single or partial exercise of any right will prevent further exercise of that or any other right. A waiver of any breach is not a waiver of any later breach. Any waiver by Paragon must be in writing and signed by an authorized representative.
30.4 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. Paragon may assign these Terms, including in connection with a merger, acquisition, or sale of assets, upon notice to you.
30.5 Force Majeure. Paragon is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, government action, or failures of internet, utility, or payment-provider services.
30.6 Electronic Communications and Notices. You agree to receive communications from us electronically, including by email and through the Platform, and agree that all such communications satisfy any legal requirement that they be in writing. Notices to Paragon must be sent to info@paragonrentals.ai or to the mailing address in Section 31.
30.7 Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Paragon, except for the limited payment collection agency described in Section 8.2.
30.8 Survival. Sections that by their nature should survive termination of these Terms will survive, including Sections 8 (as to amounts owed), 10, 12.3, 15, 16, and 24 through 30.
30.9 Headings. Section headings are for convenience only and have no legal effect. The word “including” means “including without limitation.”
